Nach § 32 Satz 1 BGB werden die Angelegenheiten des Vereins durch Beschlussfassung der Mitgliederversammlung geordnet, “soweit sie nicht von dem Vorstand oder einem anderen Vereinsorgan zu besorgen sind”. § 40 Satz 1 BGB stellt klar, dass die Satzung das abweichend regeln kann. Zuständig ist die Mitgliederversammlung also nur, soweit die Satzung das nicht anders regelt. Sie kann die Rechte der Mitgliederversammlung einschränken und Aufgaben einem anderen Vereinsorgan zuweisen.
Das gilt ausnahmslos auch dann, wenn die Satzung eine allgemeine Auffangregelung enthält, nach der die Mitgliederversammlung das oberste beschließende Organ des Vereins ist und ihre Beschlüsse für alle Mitglieder verbindlich sind.
Eine solche Zuständigkeitsregelung ist auch für die Mitgliederversammlung bindend. Sie kann Angelegenheiten, die nach Gesetz oder Satzung anderen Organen obliegen, nicht beliebig an sich ziehen. Auch eine punktuelle Durchbrechung der Satzungsregelung ist dann nicht möglich – selbst wenn sie mit satzungsändernder Mehrheit beschlossen wird.
Hinweis: Die Übertragung der Angelegenheiten auf den Vorstand oder andere Organe kann dabei sehr weit gefasst sein.
